Company Secretarial Senior Consultant – London based
An exciting opportunity for someone looking for a Senior Consultant position and wanting to develop their skills in a FTSE 250 listed professional services firm.
  • Provide high-quality company secretarial services to clients, meeting billable hours and recovery rate targets.
  • Follow operational processes to ensure financial hygiene, effective document management, and data-driven decision making.
  • Develop and implement a personal development plan to expand service offerings and advance in the UK CSS career path.
  • Manage the workflow and day-to-day activities of team members, potentially leading technical initiatives.
  • Offer feedback on work produced and address queries from junior team members to maintain quality service delivery.
  • Maintain electronic corporate records using Diligent Entities and handle statutory filings with the Registrar of Companies.
  • Advise clients on compliance matters, including annual statutory requirements, routine company changes, and share capital changes.
  • Correspond directly with clients and third parties.
  • Draft board minutes and shareholder resolutions for relevant company changes.
  • Manage board paper collation, follow up on actions, attend meetings, and draft minutes.
  • Oversee the maintenance of electronic corporate records and statutory filings.
  • Prepare non-financial disclosures for the Annual Report, including the annual general meeting and general meetings.
  • Provide advice on corporate governance best practices and review relevant documentation.
  • Offer guidance on the Companies Act, Listing and Disclosure Rules, Market Abuse Regulation, and governance.
  • Draft and release regulatory announcements.
  • Identify opportunities for new business, expand services to existing clients, and collaborate across Law Debenture.
  • Assist in developing processes and procedures within the UK CSS team.
  • Stay updated on legal and regulatory requirements, anticipate upcoming changes, and identify new business areas.

Skills and Experience:
  • Part or fully qualified with CGI (or relevant professional qualification based on demonstrated experience).
