Legal Assistance General Counsel Europe and Oceania Upstream

Purpose:

Provision of legal services to the UK Business Unit including the provision of shared services to affiliated business units/departments.  This will include work on a range of matters particularly in the areas of Exploration and Production and Eni Corporate.

Key responsibilities cover the following areas:
  • Reviewing, drafting and negotiating a wide range of legal/commercial agreements for key clients within Exploration and Production and Eni Corporate.
  • Internal liaison with Eni UK client departments and other affiliated business units/departments.
  • External liaison with joint venture partners, trading counterparties, government/regulatory authorities and external legal advisers.
  • Provision of miscellaneous shared services within the wider Eni Group.
  • Assistance on various corporate transactions (including acquisition and divestitures, international projects, etc)
  • Support to the company secretarial activities of the Eni UK Business Unit and the wider Eni Group (including corporate restructuring activities arising from legacy acquisitions).
  • Internal compliance with respect to the internal policies, procedures and guidelines of the Eni Group.
  • Co-ordination of legal services within the Eni Group (including the provision of English law advice).

Main Accountabilities and Responsibilities:

Some or all of the following, as allocated by the Legal Assistance General Counsel Europe and Oceania Upstream:-
 
  • The provision of high quality legal advice and assistance to Exploration & Production activities in the UK, Greenland and Ireland.  This will include work on drafting/negotiating joint operating agreements, unitisation and unit operating agreements, transportation and processing agreements, construction and tie-in agreements, decommissioning security agreements, proximity agreements, farm-in agreements, confidentiality agreements and transfer/novation agreements including Execution Deeds.
  • The provision of high quality legal advice and assistance to Acquisition and Divestiture activities of the Eni UK Business Unit and, on a case by case basis, the wider Eni Group.  This will include work on due diligence activities, pre-emption analysis, drafting and negotiating sale and purchase agreements, regulatory approvals and general transaction management of these and all related activities.
  • The provision of high quality legal advice and assistance to International Projects/Transactions as they may arise from time to time.
  • The provision of high quality legal advice and assistance in relation to the provision of shared legal services to affiliated business units/departments such as Eni International Resources Limited, Eni Trading and Shipping SpA, Eni Norge AS and other Eni affiliates as required.  The work to be completed will be wide ranging and include general legal support in the areas of property, data protection, procurement, pensions, insolvency, employment, corporate governance, etc.
  • The provision of high quality legal advice and assistance to the company secretarial activities of the Eni UK Business Unit and the wider Eni Group including assistance on Corporate Restructuring and Project Work arising out of the legacy acquisitions of Lasmo, British-Borneo, Burren and First Calgary Petroleum’s.
  • Dispute Resolution inc. litigation, arbitration, mediation and expert determination.
  • English Law advice for affiliates within the wider Eni Group.
  • Internal compliance with respect to the internal policies, procedures and guidelines of the Eni Group including matters related to HS&E, Anti-Corruption Compliance Guidelines, Law 231, Claims Reporting, Sarbanes-Oxley, etc.
  • Professional development including internal training, precedents database, legal know-how etc.
  • Document/information management systems (Mosaic, Desksite, e:Concession, etc).
  • To ensure adherence to the Company’s Health, Safety & Environment policies, procedures and standards.
  • To fully comply with Eni Code of Ethics and the Organisational Management and Control MODEL.
Main Interfaces (relationships):

INTERNAL (company, no reporting line):
  • Eni UK client departments including Operations and Development, Commercial and Portfolio, Exploration, Finance and Control, HRO and Facilities, Procurement, ICT and Health Safety and Environment
  • Other affiliated business units/departments of the wider Eni Group on a case by case basis
  • Eni Group in Milan/Rome and across the world including, in particular, the members of the General Counsel Europe

EXTERNAL (external):
  • The legal departments of joint venture partners and trading counterparties
  • Government/regulatory authorities such as DECC and OFGEM
  • External legal advisers, including law firms both in the UK and abroad
  • Industry associations such Oil and Gas UK, OGP and AIPN
Education & Professional Qualifications:
  • Law Degree with strong academic results
  • Qualified solicitor/barrister
Required Experience and Technical Competencies (relevant experience and technical skills):
  • Must have experience working at a senior level appropriate to the role
  • Strong working knowledge of and relevant experience in the UKCS upstream O&G industry
  • Excellent legal skills/knowledge, particularly in the area of commercial law
 
Working Conditions (working conditions and additional information, e.g. working hours or mobility requirements):
  • Occasional travel to meetings both within the UK and abroad may be required
